By accessing or using the Site, creating an account, or interacting with any features of the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Site.

2. Nature of REIT DAO and the Site

REIT DAO is a decentralized, non-incorporated governance association operating through blockchain-based smart contracts and governed by its Constitution (the “Constitution”).

REIT DAO is not a registered legal entity, corporation, partnership, foundation, trust, investment fund, or other regulated entity in any jurisdiction.

The Site is made available and technically administered by one or more technical administrators acting under mandate of REIT DAO (the “Mandate Holder”). The Mandate Holder provides technical and administrative services only.

Neither REIT DAO nor the Mandate Holder:

  • provides investment services;
  • acts as a broker, dealer, custodian, asset manager, fiduciary, or financial intermediary;
  • accepts, holds, manages, or controls user funds;
  • guarantees any economic return or financial performance.

The Site functions solely as an informational and coordination interface related to REIT DAO governance activities.

3. No Offer, No Advice, No Securities

Nothing on the Site constitutes or shall be interpreted as:

  • an offer to sell or a solicitation to buy securities or financial instruments;
  • an investment contract;
  • a public offering;
  • financial, legal, tax, or investment advice.

Any references to potential structures, models, projections, or economic scenarios are illustrative only and do not constitute commitments, representations, or guarantees.

Users are solely responsible for conducting their own independent analysis and seeking professional advice where appropriate.

4. Eligibility

By using the Site, you represent and warrant that:

  • You are at least 18 years of age;
  • You have full legal capacity to enter into binding agreements;
  • You are acting on your own behalf;
  • Your use of the Site complies with all applicable laws and regulations in your jurisdiction.

5. User Accounts and Roles

The Site may provide role-based access levels, including but not limited to:

  • Verified
  • Contributor

Access to certain roles may require identity verification (KYC/AML) and additional acknowledgments.

Role upgrades do not constitute:

  • ownership in any entity;
  • entitlement to assets;
  • entitlement to profit distributions;
  • participation in any specific asset acquisition.

6. On-Chain Treasury and Digital Asset Transfers

REIT DAO governance activities may involve an on-chain multisignature wallet (the “Treasury”).

The Site does not process, receive, or custody digital assets.

Any transfer of digital assets is executed independently by Users directly on blockchain networks to publicly available addresses.

Such transfers are irreversible by default. REIT DAO has no obligation to return transferred digital assets unless explicitly determined through DAO governance mechanisms.

Users assume full responsibility for any on-chain transaction, including errors in wallet addresses, network selection, or transaction parameters.

7. Governance and Signers

Treasury operations may be executed through multisignature mechanisms by participants acting as governance executors (“Signers”).

Signers:

  • act solely as technical executors of governance decisions;
  • do not owe fiduciary duties to Users;
  • are not investment managers, trustees, or custodians;
  • do not provide financial services.

Governance outcomes may change through voting mechanisms and are not guaranteed.

8. REPU Token Disclaimer

Any references to REPU within documentation or whitepaper materials relate to a governance utility concept.

REPU:

  • does not represent equity or ownership;
  • does not represent ownership of real estate or other assets;
  • does not grant rights to profit, dividends, or income;
  • is not a security;
  • may never be issued;
  • may have no liquidity or market value.

There is no guarantee of token issuance, listing, or secondary market availability.

9. Risk Acknowledgment

By using the Site, you acknowledge and accept that:

  • Blockchain technologies involve technical and operational risks;
  • Smart contracts may contain vulnerabilities or errors;
  • Regulatory environments may change unpredictably;
  • Governance decisions are uncertain and subject to modification;
  • Digital asset markets are volatile;
  • Liquidity may be limited or non-existent;
  • You may lose some or all digital assets transferred.

You accept full responsibility for the risks associated with blockchain interactions and governance participation.

10. Third-Party Services

The Site may rely on third-party service providers, including but not limited to identity verification providers, hosting services, and analytics providers.

REIT DAO and the Mandate Holder are not responsible for the acts, omissions, or failures of third-party service providers.

11. Prohibited Conduct

You agree not to:

  • Provide false or misleading information;
  • Circumvent identity verification processes;
  • Use the Site for unlawful purposes;
  • Engage in fraudulent, abusive, or manipulative conduct;
  • Attempt to exploit technical vulnerabilities of the Site or related systems.

12. Intellectual Property

All content, branding, documentation, and materials available on the Site are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or commercially exploit Site materials without prior authorization.

13. Limitation of Liability

To the maximum extent permitted by applicable law, REIT DAO, the Mandate Holder, Signers, contributors, and participants shall not be liable for:

  • Indirect, incidental, special, or consequential damages;
  • Loss of digital assets;
  • Governance outcomes;
  • Regulatory actions or restrictions;
  • Technical failures or blockchain network disruptions;
  • Market volatility or loss of value.

All services are provided “as is” and “as available,” without warranties of any kind, express or implied.

14. Indemnification

You agree to indemnify and hold harmless REIT DAO, the Mandate Holder, Signers, contributors, and participants from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to:

  • Your use of the Site;
  • Your violation of these Terms;
  • Your breach of applicable laws or regulations.

15. Amendments

These Terms may be amended or updated at any time.

Continued use of the Site following publication of revised Terms constitutes acceptance of such revisions.

16. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding international arbitration.

The arbitration shall be conducted in English under internationally recognized arbitration rules.

The arbitral award shall be final and binding.

You waive the right to participate in class actions, collective proceedings, or jury trials.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
